Ethical Corporate Management
In order to reinforce the ethical operations management mechanisms, and in accordance with the Ethical Corporate Management Best Practice Principles for TWSE/TPEx Listed Companies, SKS has formulated the Procedures for Ethical Management and Guidelines for Conduct. These make ethical, moral values a part of the Company’s operating strategy and operational management. In accordance with the law, we also establish systems and measures to prevent unethical conduct. All business services have standard operating procedures and codes of conduct established in accordance with the appropriate management systems, to ensure that concepts of ethical management are carried out through our everyday operations.
Based on our specific operational risks, the Company has established mutual supervision and check/balance mechanisms within our internal organizational framework. These provide management and monitoring of business activities within our operations for which there are relatively high risks of unethical behavior. Since 2022, the Legal Affairs Office has been responsible for planning and overseeing implementation of the ethical management policy and prevention measures, and reports to the Board of Directors periodically (at least once a year). The most recent report was made on December 10, 2025; no ethical management violations occurred in 2025.
Management Mechanism
Each department conducts an annual assessment of ethical corporate management to analyze and review the adequacy and effectiveness of the preventive mechanisms.
we conduct education and training and promotion of ethical corporate management for directors, managers, employees, appointees, and persons having substantial control once a year, helping them to fully understand SKS's ethical corporate management determinations, policies, prevention measures, and the consequences of violating such practices.
We integrate ethical corporate management into employee performance evaluations and our human resources policy.
Before making business transactions, it is required to evaluate the legitimacy of our agents, suppliers, customers, and other business counterparties, as well as whether they are involved in unethical behaviors; we avoid transactions with those involved in unethical behaviors.
Educational Training for Ethical Corporate Management
Established behavioral guidelines such as the Procedures for Ethical Corporate Management and Guidelines for Conduct, the Code of Ethical Conduct, and the Work Rule to regulate the conduct of SKS employees. Regular internal notifications and case studies are used for dissemination. In cases involving unethical behavior, disciplinary actions are taken in accordance with the severity of the offense, as stipulated in the Employee Reward and Punishment Regulations.
